1 Introduction and Acceptance of Terms
Welcome to Deal Direct Trade. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Deal Direct Trade Ltd, a company registered in England and Wales ("Company", "we", "us", or "our").
By accessing or using our website, registering for a trade account, or placing an order through our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our services or place any orders.
These Terms apply exclusively to business-to-business (B2B) wholesale transactions. Our services are not intended for individual consumers, and the Consumer Rights Act 2015 does not apply to transactions conducted under these Terms.
2 Definitions
Throughout these Terms, the following definitions apply:
- "Trade Account" means a registered wholesale account approved by Deal Direct Trade, granting the holder access to trade pricing and ordering capabilities on our platform.
- "Products" means all goods, merchandise, and inventory available for wholesale purchase through our platform, including but not limited to branded consumer goods, health and beauty products, household items, and food and beverages.
- "Services" means all services provided by Deal Direct Trade, including but not limited to the online wholesale platform, order processing, fulfilment, delivery, customer support, and account management.
- "Order" means a request submitted by a Customer through our platform to purchase Products at the listed wholesale price, subject to acceptance by Deal Direct Trade.
- "Wholesale Price" means the trade price listed on our platform for each Product, exclusive of VAT unless otherwise stated.
- "Minimum Order Quantity" (MOQ) means the minimum number of units or minimum order value required to place an order for a particular Product or category of Products.
- "Platform" means the Deal Direct Trade website, associated applications, and any digital tools or interfaces provided for the purpose of conducting wholesale trade.
- "Business Day" means any day other than a Saturday, Sunday, or public holiday in England and Wales.
3 Trade Account Eligibility
Our platform and services are available exclusively to verified trade customers. To be eligible for a Trade Account, you must satisfy all of the following requirements:
- You must be a business registered in the United Kingdom, including sole traders, partnerships, limited liability partnerships, and limited companies.
- You must hold a valid Companies House registration number or, in the case of sole traders, be able to provide proof of self-employment registration with HMRC.
- You must be purchasing Products for the purpose of resale, commercial use, or business operations, and not for personal consumption.
- You must provide accurate and verifiable business information during the registration process, including your registered business name, trading address, company registration number (where applicable), and VAT registration number (if VAT-registered).
- You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of your business.
We reserve the right to request additional documentation to verify your eligibility at any time, including but not limited to proof of business registration, trade references, and proof of trading premises. Failure to provide requested documentation within 14 days may result in the suspension or termination of your Trade Account.
4 Account Registration and Responsibilities
When registering for a Trade Account, you agree to:
- Provide accurate, current, and complete information during the registration process and keep this information up to date at all times.
- Maintain the confidentiality of your account login credentials, including your email address and password, and not share these with any unauthorised third party.
- Accept full responsibility for all activities that occur under your Trade Account, whether or not authorised by you.
- Notify us immediately at info@dealdirecttrade.com if you become aware of any unauthorised access to or use of your account.
- Not create multiple Trade Accounts for the same business entity without prior written consent from Deal Direct Trade.
We reserve the right to approve or decline any Trade Account application at our sole discretion and without obligation to provide reasons for our decision. Account approval may take up to 5 Business Days from submission of a complete application.
5 Ordering Process and Acceptance
All orders are subject to the following process:
- Order Placement: You may place orders through our platform by selecting Products, specifying quantities, and submitting your order. Submitting an order constitutes an offer to purchase the selected Products at the listed Wholesale Price.
- Order Acknowledgement: Upon submission, you will receive an automated order acknowledgement via email. This acknowledgement confirms receipt of your order but does not constitute acceptance.
- Order Acceptance: A binding contract is formed only when we issue an order confirmation email, which may include dispatch details. We reserve the right to accept or decline any order, in whole or in part, at our sole discretion.
- Order Amendments: Orders may be amended or cancelled by contacting our team prior to dispatch. Once an order has been dispatched, it cannot be amended or cancelled except in accordance with our Returns and Refunds Policy set out in Section 8.
We make every effort to ensure that Product descriptions, images, and pricing on our platform are accurate. However, if we discover an error in the price or description of Products you have ordered, we will inform you as soon as possible and offer you the option to reconfirm the order at the correct price or cancel the order for a full refund.
6 Pricing and Payment Terms
Pricing
- All prices displayed on our platform are Wholesale Prices quoted in pounds sterling (GBP) and are exclusive of Value Added Tax (VAT), which will be charged at the prevailing rate where applicable.
- Prices are subject to change without prior notice. However, any price changes will not affect orders that have already been confirmed by us.
- Volume discounts may be available on qualifying orders. Tiered pricing structures are displayed on individual Product pages and are applied automatically at checkout where applicable.
- Promotional pricing and special offers are subject to availability and may be withdrawn at any time without notice.
Payment Terms
- Payment is due within 30 days from the date of invoice unless alternative payment terms have been agreed in writing.
- We accept payment by bank transfer (BACS), debit card, and credit card. Alternative payment arrangements may be considered on a case-by-case basis for established customers.
- New Trade Accounts may be required to pay on a proforma basis for the first three orders, after which standard 30-day terms may be extended at our discretion.
- In the event of late payment, we reserve the right to charge interest on overdue amounts at the rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- We may suspend or restrict your Trade Account if any payment remains outstanding beyond the agreed payment terms until the outstanding balance is settled in full.
7 Delivery Terms
We provide delivery services across the United Kingdom, subject to the following terms:
- Dispatch: Orders are typically dispatched within 48 hours of order confirmation on Business Days. Dispatch times may be extended during peak periods, promotional events, or due to circumstances beyond our reasonable control.
- Delivery Timeframes: Standard delivery within mainland UK is typically 2 to 5 Business Days from dispatch. Deliveries to Northern Ireland, the Scottish Highlands and Islands, and the Channel Islands may take longer.
- Delivery Charges: Delivery charges are calculated based on order weight, dimensions, and delivery destination. Applicable charges are displayed at checkout before order submission. Free delivery may be offered on orders exceeding a specified threshold, as indicated on our platform.
- Risk and Title: Risk in the Products shall pass to you upon delivery to the address specified in your order. Title to the Products shall remain with Deal Direct Trade until payment has been received in full.
- Inspection on Delivery: You are responsible for inspecting all deliveries upon receipt. Any visible damage to packaging or shortages must be noted on the delivery documentation at the time of delivery and reported to us within 48 hours.
- Failed Deliveries: If delivery cannot be completed due to incorrect address information, failure to accept delivery, or access restrictions at the delivery location, additional delivery charges may apply for redelivery.
8 Returns and Refunds Policy
We are committed to ensuring the quality of all Products supplied. Our returns and refunds policy is as follows:
Eligible Returns
- Damaged Goods: Products that arrive damaged during transit are eligible for a full replacement or refund. Photographic evidence of the damage must be provided within 48 hours of delivery.
- Incorrect Items: If you receive Products that differ from those ordered, we will arrange collection at our cost and issue a replacement or full refund.
- Defective Products: Products found to be defective or not of satisfactory quality upon reasonable inspection may be returned for a full refund or replacement.
Notification Period
All returns must be notified to us in writing within 14 days of delivery by contacting info@dealdirecttrade.com. Returns notified outside of this period may not be accepted unless otherwise agreed in writing.
Return Conditions
- Products must be returned in their original packaging, unused, and in a resaleable condition (except in the case of damaged or defective goods).
- We do not accept returns for Products that have been opened, used, or are no longer in their original condition, unless the return is due to damage, defect, or an error on our part.
- Perishable goods and Products with limited shelf life are non-returnable unless they arrive damaged, defective, or incorrect.
Refund Processing
Approved refunds will be processed within 10 Business Days of our receipt and inspection of the returned Products. Refunds will be credited to the original payment method or applied as a credit to your Trade Account, at your preference.
9 Product Authenticity Guarantee
Deal Direct Trade is committed to supplying only genuine, authentic Products sourced through verified and authorised supply chains. We guarantee that:
- All Products listed on our platform are 100% authentic and sourced from authorised distributors, manufacturers, or licensed suppliers.
- All Products are accompanied by full traceability documentation, which we will provide upon reasonable request.
- We operate strict quality control procedures to verify the authenticity and condition of all Products before they are listed for sale on our platform.
In the unlikely event that a Product is found not to be authentic, we will issue a full refund and cover all reasonable return costs. We take product authenticity extremely seriously and investigate all such claims thoroughly.
10 Minimum Order Quantities
Certain Products and categories are subject to Minimum Order Quantities (MOQs). Where applicable:
- MOQs are clearly displayed on individual Product pages and must be met for the order to be processed.
- A general minimum order value may apply to all orders placed through our platform. The current minimum order value is displayed during the checkout process.
- MOQs may vary by Product, brand, or category and are subject to change at our discretion.
- We may, at our sole discretion, waive MOQ requirements for selected customers or during promotional periods.
11 Intellectual Property
All intellectual property rights in and relating to our platform, including but not limited to the design, layout, text, graphics, logos, icons, images, software, and underlying code, are owned by or licensed to Deal Direct Trade Ltd and are protected by applicable intellectual property laws.
- You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our platform without our prior written consent.
- Product names, brand names, trademarks, and logos displayed on our platform are the property of their respective owners. Their appearance on our platform does not grant you any licence or right to use them.
- You grant us a non-exclusive, royalty-free licence to use your business name and logo for the sole purpose of identifying you as a customer of Deal Direct Trade, subject to your right to withdraw this consent at any time by notifying us in writing.
12 Limitation of Liability
To the maximum extent permitted by law:
- Deal Direct Trade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, arising out of or in connection with these Terms or the use of our Services.
- Our total aggregate liability to you in respect of all claims arising under or in connection with these Terms shall not exceed the total amount paid by you to Deal Direct Trade in the 12-month period immediately preceding the event giving rise to the claim.
- Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under the laws of England and Wales.
- We do not warrant that our platform will be available at all times, uninterrupted, secure, or free from errors. We shall not be liable for any loss or damage resulting from temporary unavailability of our platform.
13 Termination of Accounts
Either party may terminate the trade relationship as follows:
Termination by You
You may close your Trade Account at any time by contacting us in writing at info@dealdirecttrade.com. Account closure does not release you from any outstanding payment obligations, and all amounts owed to Deal Direct Trade shall become immediately due and payable upon termination.
Termination by Us
We may suspend or terminate your Trade Account immediately and without prior notice if:
- You breach any provision of these Terms and fail to remedy such breach within 14 days of written notification.
- Any payment remains overdue for more than 30 days beyond the agreed payment terms.
- You become insolvent, enter into administration, liquidation, or any analogous insolvency proceedings.
- We reasonably suspect fraudulent activity, misuse of the platform, or misrepresentation of your business credentials.
- You engage in conduct that we reasonably consider to be harmful to our business, reputation, or other customers.
Upon termination, all pending orders may be cancelled at our discretion, and any existing credit terms shall be revoked. Sections of these Terms that by their nature should survive termination shall remain in full force and effect.
14 Force Majeure
Deal Direct Trade shall not be held liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, extreme weather events, floods, earthquakes, or epidemics.
- War, armed conflict, terrorism, civil unrest, or sanctions.
- Government actions, legislative or regulatory changes, embargoes, or trade restrictions.
- Strikes, industrial action, or labour disputes (whether involving our workforce or otherwise).
- Failure or disruption of utilities, telecommunications, internet services, or third-party systems.
- Supply chain disruptions, raw material shortages, or logistics failures beyond our reasonable control.
In the event of a Force Majeure event, we will use reasonable endeavours to mitigate the impact and resume performance of our obligations as soon as practicable. If a Force Majeure event continues for more than 60 consecutive days, either party may terminate any affected orders by giving written notice to the other party.
15 Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, formation, or enforceability (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales.
Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
16 Dispute Resolution
In the event of any dispute arising under or in connection with these Terms, the parties agree to follow this dispute resolution process:
- Informal Resolution: Both parties shall first attempt to resolve the dispute through good faith negotiation. The aggrieved party shall provide written notice of the dispute to the other party, and both parties shall use reasonable endeavours to reach an amicable resolution within 30 days of such notice.
- Mediation: If the dispute cannot be resolved through informal negotiation within 30 days, either party may refer the matter to mediation in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure. The cost of mediation shall be shared equally between the parties unless otherwise agreed.
- Litigation: If the dispute is not resolved through mediation within 60 days of referral, either party may commence court proceedings in the courts of England and Wales in accordance with Section 15.
Nothing in this Section shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to protect its rights or interests.
17 Changes to Terms
We reserve the right to amend, update, or replace these Terms at any time. When we make material changes:
- We will publish the updated Terms on our platform with a revised "Last updated" date.
- We will notify registered Trade Account holders of material changes via the email address associated with their account at least 14 days before the changes take effect.
- Your continued use of our platform or Services following the effective date of any changes constitutes your acceptance of the revised Terms.
- If you do not agree with any changes to these Terms, you must cease using our Services and close your Trade Account before the changes take effect.
It is your responsibility to review these Terms periodically to remain informed of any updates. The version of the Terms in effect at the time an order is placed shall apply to that transaction.
